1.1 Acceptance of Terms

By using the website, submitting information, approving a quotation, issuing a purchase order, or purchasing products or services from Frosource Global Supply, the customer agrees to these Terms and Conditions.

1.2 Nature of Services

A sourcing and procurement agent

A reseller or supplier

A marketplace or listing provider

An inspection coordinator

A warehousing and consolidation coordinator

The specific role of Frosource will be identified in the applicable quotation, invoice, purchase agreement, or service agreement.

1.3 Product Availability

Products shown on the website may include:

1.4 Quotations

Frosource is not required to purchase, reserve, collect, inspect, package, or ship a product until the required funds have cleared.

Customers are responsible for bank charges, payment-processing fees, currency-conversion charges, and other transaction costs unless stated otherwise.

1.6 Sourcing Fees

Sourcing, research, inspection, travel, technical review, and procurement fees may be nonrefundable once work has begun.

Payment of a sourcing fee does not guarantee that a suitable product will be located or that a transaction will be completed.

1.7 Order Cancellation

Special-order, used, surplus, auction, custom-fabricated, discontinued, or internationally sourced products may not be cancellable after:

Supplier payment

Equipment reservation

Auction purchase

Inspection scheduling

Packaging or crating

Domestic transportation

Export preparation

Any approved cancellation may be subject to supplier penalties, restocking charges, inspection costs, freight costs, administrative fees, and nonrecoverable expenses.

1.8 Customer Responsibilities

The customer is responsible for providing accurate:

  • Equipment descriptions
  • Manufacturer and model information
  • Part numbers
  • Serial numbers
  • Technical specifications
  • Voltage and frequency requirements
  • Capacity and performance requirements
  • End-user information
  • Intended-use information
  • Delivery destination
  • Import and regulatory requirements

Frosource is not responsible for errors caused by incomplete, inaccurate, or misleading information supplied by the customer.

1.9 Compatibility

The customer is responsible for confirming final compatibility unless Frosource expressly agrees in writing to provide a defined compatibility-verification service.

Photographs, part numbers, model numbers, and nameplates should be supplied whenever possible.

1.10 Taxes, Duties, and Import Requirements

Unless expressly included in the quotation, the customer is responsible for:

Import duties

Customs charges

Value-added taxes

Port charges

Destination inspection

Product registration

Import permits

Standards certification

Clearing-agent fees

Local delivery charges

The customer or its appointed representative will generally serve as importer of record unless otherwise agreed in writing.

1.11 Third-Party Providers

Frosource may coordinate services through independent:

  • Manufacturers
  • Dealers
  • Equipment owners
  • Inspectors
  • Warehouses
  • Freight forwarders
  • Carriers
  • Customs brokers
  • Packaging companies
  • Technical specialists

These providers are independent contractors and are not employees or agents of Frosource unless expressly stated.

1.12 Website Content

Product descriptions, photographs, specifications, videos, and documentation may be supplied by third parties.

Frosource seeks to present accurate information but does not guarantee that every website listing is complete, current, or free from supplier error.

1.13 Intellectual Property

Website content, branding, written materials, graphics, forms, and original media owned by Frosource may not be copied, reproduced, modified, or commercially used without written permission.
